Referral Program Terms

The StillWell Partner Referral Program ("Program") allows approved partners ("Partners") to earn commissions by referring new users to the StillWell app. By participating in the Program, you agree to these terms and conditions.

To participate in the Program, you must:

• Be at least 18 years of age
• Have a valid email address and payment information
• Be approved by Bit Byte Bit Software Ltd
• Comply with all applicable laws and regulations
• Not be a current employee of Bit Byte Bit Software Ltd

Partners earn commission based on the following structure:

• Revenue Share: Partners receive a percentage of the subscription revenue generated by referred users. All commissions are calculated and paid in USD based on the subscription price at the time of purchase
• Attribution: Referrals are only tracked and attributed when users sign up through your unique referral link or associated QR code. We cannot credit referrals made through other means (e.g., verbal recommendations, untracked links)
• Recurring Commission: Partners earn commission on recurring payments for as long as the referred user remains subscribed

Commission rates and structures may be modified at our discretion with 30 days notice to active partners. We reserve the right to change subscription prices at any time without prior notice to partners.

• Commissions are calculated monthly and paid within 30 days of the end of each calendar month
• Minimum payout threshold is $150 USD. Balances below this amount will roll over to the following month
• Payments are sent via Wise to your registered email address. You will receive an email from Wise with instructions to claim your funds and can choose how to receive them (bank transfer, Wise balance, etc.)
• Partners are responsible for any taxes applicable to their commission earnings
• Refunded or disputed transactions will result in commission reversal
• Payments are made with a 1-month delay to account for potential refunds

Partners agree to:

• Use only the unique referral links provided through the Partner Dashboard
• Clearly disclose the affiliate relationship when promoting StillWell
• Not modify or cloak referral links in a deceptive manner
• Not use referral links for personal purchases or self-referrals

Commission rates, payment terms, and other partnership details are confidential and may vary between partners. Partners agree to:

• Not disclose their commission rates or payment terms to other partners or the public
• Not discuss or compare partnership terms with other StillWell partners
• Keep all non-public information about the Program confidential

Breach of confidentiality may result in immediate termination of the partnership.

The following activities are strictly prohibited:

• Spam: Sending unsolicited emails, messages, or communications
• False Advertising: Making misleading claims about StillWell's features, benefits, or medical efficacy
• Brand Misuse: Using StillWell trademarks, logos, or branding without approval
• Paid Ads on Brand Terms: Bidding on "StillWell" or related brand keywords in paid advertising
• Incentivised Downloads: Offering cash, rewards, or other incentives solely for downloading the app
• Fraudulent Activity: Creating fake accounts, using bots, or any form of click fraud

Partners must not make any medical claims about StillWell. The app is designed to help users manage tinnitus symptoms through sound therapy and is not a medical treatment or cure. Partners should direct users to consult healthcare professionals for medical advice.

Either party may terminate participation in the Program at any time. Upon termination:

• Partners will receive payment for all valid commissions earned prior to termination, provided the balance meets the minimum payout threshold. Balances below the minimum threshold will be forfeited
• Access to the Partner Dashboard will be revoked
• Partners must cease using all StillWell marketing materials and referral links

We reserve the right to terminate partnerships immediately for violation of these terms, with forfeiture of unpaid commissions.

We may modify these terms at any time. Material changes will be communicated to partners via email at least 30 days before taking effect. Continued participation in the Program after changes take effect constitutes acceptance of the modified terms.

To the fullest extent permitted by law, Bit Byte Bit Software Ltd accepts no liability for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to the Program. Partners participate in the Program entirely at their own risk.

These terms shall be governed by and construed in accordance with the laws of Northern Ireland, United Kingdom. Any disputes shall be subject to the exclusive jurisdiction of the courts of Northern Ireland.
